
Hardwood Floor Cleaning, Stripping and Recoating – Terms, Conditions
The Following Applies to All Clients of Bright Space Cleaning Hardwood Floor Services
Introduction
This Agreement governs one-time hardwood floor cleaning, stripping, surface preparation, recoating, and protective-finish services provided by Bright Space Cleaning NYC Inc. (“BSC”) to the Client (“you”). “Technicians,” “cleaning staff,” or “employees” refer to personnel performing the service.
By booking, paying a deposit, signing this Agreement, or authorizing work in writing, you acknowledge and accept these Terms, Conditions, Disclaimers, the Proposal, Work Order, Scope of Work, and post-care requirements.
1. Agreement, Scope & Inclusion
1.1. Scope & Inclusion. This Agreement applies only to the hardwood floor areas, process, number of coats, and optional services identified in the approved Proposal or Work Order.
1.2. Included Methods. Depending on inspection and testing, services may include: (a) stripping and recoating of a compatible removable topical coating; or (b) sandless cleaning, light mechanical abrasion or chemical preparation, and recoating of an existing compatible finish.
1.3. Excluded Work. Full sanding to bare wood, wood repair, board replacement, dent or gouge filling, structural correction, staining, color matching, moisture remediation, and subfloor work are excluded unless separately authorized in writing.
1.4. Written Changes. Additional areas, extra coats, repairs, specialty products, or method changes require written approval by email, text, updated proposal, or work order.
1.5. Policy Updates. BSC may update formatting or clarifications prospectively. Material changes affecting pricing or client rights do not apply retroactively to an already accepted service.

2. Service Methods, Testing & Method Selection
2.1. Required Test Area. A small test area is required before full application whenever reasonably possible. Testing helps evaluate coating response, color change, cleaning effectiveness, adhesion, gloss, and product compatibility, but cannot eliminate all risk.
2.2. Least-Aggressive Compatible Method. BSC may begin with the least aggressive reasonable method, modify the proposed method with written approval, limit work to compatible areas, or decline work that appears unsafe, unstable, or incompatible.
2.3. Stripping and Recoating. This process is intended for compatible removable wax, polish, acrylic finish, or similar topical coating. It may include chemical stripping, mechanical scrubbing, residue removal, rinsing or neutralization when required, drying, and application of new protective finish coats.
2.4. Sandless Cleaning and Recoating. This process retains most or all of the existing compatible finish. It may include intensive cleaning, degreasing, light mechanical abrasion or chemical preparation, residue removal, and application of a compatible sealer or protective coating. The floor is not sanded to bare wood.
2.5. No Assumption About Existing Finish. The Client must disclose known waxes, oils, polyurethane, acrylics, factory coatings, maintenance products, DIY treatments, and prior refinishing. BSC may not be able to conclusively identify every prior coating.
2.6. Manufacturer Instructions and Warranties. The Client must disclose active floor or finish warranties and care requirements. Work contrary to manufacturer instructions may affect warranty coverage. BSC may decline any method that conflicts with visible care instructions or professional judgment.
3. Client Responsibilities Before Arrival
3.1. Preparation. Remove rugs, mats, small furniture, decor, toys, boxes, cables, breakables, and personal items from the work area unless the Work Order states otherwise.
3.2. Access. Provide keys, codes, concierge authorization, elevator reservations, parking procedures, and uninterrupted access to all approved areas.
3.3. Utilities. Provide working electricity, hot and cold water where required, adequate lighting, ventilation, and safe indoor conditions. Lack of required utilities may be treated as a lockout or rescheduling event.
3.4. Temperature and Humidity. Maintain conditions suitable for the selected products. Excessive humidity, low temperature, poor ventilation, HVAC shutdowns, or building restrictions may delay drying, coating, or curing.
3.5. Disclosure. Before service, identify known leaks, pet urine, water intrusion, prior coatings, cleaners, silicone products, waxes, oils, repairs, loose boards, exposed wood, peeling, and other concerns.
3.6. Occupants. Children, pets, occupants, and visitors must remain outside active work zones and must not enter until released by BSC and the applicable drying or curing period has passed.
4. Access, Lockout, Delays & On-Site Changes
4.1. Arrival Window. The scheduled time may include the arrival window stated in the Proposal or calendar invitation.
4.2. Lockout. If technicians cannot obtain access, BSC may wait up to fifteen (15) minutes while attempting contact. If access remains unavailable, the appointment may be treated as a lockout; the deposit may be retained and a lockout or return-trip charge may apply.
4.3. Client-Caused Delays. Delays beyond the grace period may be billed at the stated hourly rate per technician, prorated, and may shorten the amount of work completed that day.
4.4. Unexpected Conditions. If actual square footage, coating type, buildup, contamination, adhesion risk, or floor condition differs materially from the estimate, BSC may propose additional labor, materials, coats, drying time, or a different method. Written approval is required before added charges.
4.5. Priority-Only Completion. If the Client declines an authorized adjustment, the Client may select priority areas. Areas not completed because of changed conditions or declined additional work may be excluded without a proportional discount when the original labor and mobilization have already been incurred.
5. Furniture, Appliances & Property
5.1. Furniture Moving When Included. BSC is not a moving company. When furniture moving is specifically included in the Proposal or Work Order, BSC will move furniture that can be safely handled by two (2) technicians without disassembly, specialized moving equipment, or an unreasonable risk of injury or property damage.
5.2. Items We Will Not Move. BSC will not move furniture or other items that are excessively heavy, bulky, fragile, valuable, antique, built-in, connected, mounted, plumbing-connected, gas-connected, electronic, unsafe, or that require more than two (2) persons, disassembly, lifting equipment, or specialized movers.
5.3. Old, Loose, Damaged, or Wobbly Furniture. The Client must disclose any furniture that is old, weakened, loose, damaged, previously repaired, unstable, or wobbly. If BSC observes that an item is unstable or may be damaged by movement, BSC will not move it. BSC is not responsible for the pre-existing condition, weakness, instability, looseness, deterioration, or failure of old, damaged, or wobbly furniture, except to the extent damage is caused by BSC's negligence or willful misconduct.
5.4. Excluded Areas and Outside Movers. Areas beneath items that BSC cannot safely move may be excluded without a price reduction. The Client may arrange for qualified movers to clear those items before service. Appliances and connected items must be properly disconnected and moved by a qualified person before BSC arrives.
5.5. High-Value Items. The Client must notify BSC in writing of high-value or irreplaceable items near the work area. Unless listed on the Work Order, BSC will work around them and may exclude adjacent flooring.
6. Pre-Existing Conditions & Hidden Defects
6.1. Existing Damage. BSC is not responsible for dents, gouges, deep scratches, penetrated scratches, stains, discoloration, faded areas, worn-through finish, exposed wood, water marks, pet stains, burn marks, gaps, cracks, splinters, loose boards, warped boards, cupping, crowning, checking, movement, squeaks, or unevenness existing before service.
6.2. Hidden or Latent Conditions. Old adhesives, weak finish layers, contaminated coatings, moisture beneath the floor, prior spot repairs, filler, unstable stain, concealed delamination, or other hidden defects may become visible during normal cleaning or coating.
6.3. Cleaning Can Reveal Damage. Removing soil, wax, polish, or buildup may reveal scratches, wear patterns, color differences, repairs, bare spots, or deterioration previously hidden by residue.
6.4. Prior Adhesion Failure. BSC is not responsible for peeling, flaking, or delamination caused by pre-existing adhesion failure, incompatible prior products, inadequate prior preparation, moisture, or unstable underlying layers.
6.5. Photographic Documentation. BSC may document pre-existing and discovered conditions with photographs or video before, during, and after service.
7. Results, Appearance & Cosmetic Limitations
7.1. Nature of Service. These services are cleaning and protective coating processes. They are not full sanding and refinishing and do not remove a layer of wood.
7.2. No Scratch or Dent Removal Guarantee. BSC does not guarantee removal or concealment of dents, gouges, deep scratches, penetrated scratches, stains, discoloration, wear patterns, damaged boards, or imperfections within the wood.
7.3. Light Marks. Some minor surface marks may become less noticeable after cleaning and recoating; this is not guaranteed.
7.4. Gloss Variation. Final gloss may vary because of wood species, porosity, existing coating, repairs, traffic wear, absorption, lighting, application method, temperature, humidity, and the number of approved coats.
7.5. Color Variation. Cleaning or coating may deepen, warm, or otherwise alter the appearance of the floor. Previously covered areas, repairs, edges, and traffic lanes may appear different.
7.6. No “Like New” Promise. BSC does not promise that an old, worn, damaged, or previously coated floor will appear new or uniform after service.
8. Coating, Compatibility & Adhesion Risks
8.1. Prior Products. Wax, oil, silicone, furniture polish, household cleaners, soap residue, acrylic finish, polyurethane, factory coatings, stain, maintenance products, and undisclosed treatments can interfere with cleaning, wetting, leveling, curing, or adhesion.
8.2. Possible Coating Conditions. Peeling, fisheyes, craters, bubbling, streaking, lap marks, cloudiness, uneven sheen, color change, tackiness, delayed curing, or bonding problems may occur despite testing and reasonable professional care.
8.3. Test Limitations. A successful small test does not guarantee identical performance across the entire floor because different rooms or sections may contain different products, repairs, contamination, or wear.
8.4. Incompatible Floors. BSC may stop work if the coating softens unpredictably, transfers, peels, fails to bond, reacts adversely, or presents another unacceptable risk. The Client remains responsible for completed testing, mobilization, and approved work performed up to the stop point.
8.5. Extra Correction Work. Removal or correction of an incompatible prior coating, contamination, or unexpected adhesion problem is not included unless separately quoted and authorized.
9. Moisture, Wood Movement & Environmental Conditions
9.1. Wood Response. Wood is hygroscopic and can react to water, humidity, temperature, and building conditions. Controlled procedures reduce but do not eliminate risk.
9.2. Pre-Existing or Latent Movement. BSC does not guarantee against pre-existing or latent cupping, crowning, checking, gaps, expansion, contraction, squeaking, or movement unrelated to negligent application.
9.3. Moisture Sources. Leaks, plumbing issues, slab or subfloor moisture, pet contamination, wet mopping, HVAC conditions, open windows, and building humidity can affect results and curing.
9.4. Right to Pause. BSC may pause, postpone, or decline coating when temperature, humidity, moisture readings, airflow, or site conditions are unsuitable.
10. Supplies, Chemicals & Safety
10.1. Professional Products. BSC provides floor-appropriate chemicals, pads, tools, machines, and protective finish selected for the approved method.
10.2. SDS and Safe Use. Products will be used according to label directions, applicable safety data, and reasonable professional practices. Incompatible chemicals will not be intentionally mixed.
10.3. Client-Requested Products. If the Client requests a specific product, BSC may require the product label and SDS, may decline unsafe or unsuitable products, and does not guarantee results from Client-selected products.
10.4. Odor and Sensitivity. Cleaning agents and coatings may produce odors or vapors during application and curing. Sensitive individuals, children, and pets should vacate as directed. The Client must provide reasonable ventilation and eliminate ignition sources when required by the product.
10.5. Slippery and Restricted Areas. Floors may be wet, slippery, tacky, or inaccessible during service. Cords, hoses, machines, and open containers may create temporary hazards. No one may enter active work areas without technician approval.
11. Deposit & Booking
11.1. Deposit. Unless the Proposal states otherwise, a non-refundable deposit of fifty percent (50%) of the estimate is required to secure the appointment.
11.2. Acceptance. Payment of the deposit, signature, or written authorization constitutes acceptance of the Proposal, Work Order, and these Terms.
11.3. Calendar Confirmation. The Client may receive a calendar invitation and must review the service date, arrival window, address, and access instructions.
11.4. Emergency Exceptions. Sudden documented emergencies may qualify for a waiver, credit, or rescheduling accommodation at BSC’s discretion.
12. Cancellation & Rescheduling
12.1. Notice. Cancellation or rescheduling at least forty-eight (48) hours before the appointment may be completed without an additional cancellation fee, subject to any non-refundable materials or special-order costs disclosed in writing.
12.2. Late Cancellation. Cancellation or rescheduling inside forty-eight (48) hours may result in loss of deposit or a rescheduling charge stated in the Proposal.
12.3. Multi-Day Work. Once a multi-day floor process begins, the Client may not interrupt, postpone, or cancel remaining coats or curing steps without responsibility for completed labor, committed staffing, materials, return trips, and resulting condition risks.
12.4. Building Restrictions. Unexpected building restrictions, unavailable elevators, access denial, or work-hour limitations attributable to the Client may be treated as a client-requested reschedule.
13. Pricing, Taxes, Add-Ons & Estimate Changes
13.1. Estimate Basis. Pricing is based on stated square footage, visible condition, selected method, number of coats, access, furniture status, and information available when quoted.
13.2. Add-Ons. Possible add-ons include additional coats, extra stripping passes, edge detailing, heavy buildup removal, coating correction, added square footage, stair work, furniture handling, after-hours work, return trips, and extended drying or curing supervision.
13.3. Written Approval. No added charge will be performed without written approval, except emergency steps reasonably necessary to prevent immediate injury or property damage.
13.4. Taxes. BSC will itemize and apply sales tax when legally required.
13.5. Credit-Card Pricing. Any credit-card price or surcharge will be disclosed in compliance with applicable New York requirements and will not exceed BSC’s actual processing cost.
13.6. Quote Validity. Unless stated otherwise, estimates are valid for thirty (30) days and may be revised if site conditions, scope, material costs, or floor conditions materially change.
14. Payment Terms & Collections
14.1. Balance Due. The remaining balance is due promptly after completion of the contracted service or at the milestone stated in the Proposal for multi-day work.
14.2. Undisputed Amounts. The Client must pay undisputed amounts without withholding or setoff. Any pricing dispute must be raised in writing promptly.
14.3. Late Charges. Late fees, if stated in the Proposal or invoice, will be applied only as permitted by law.
14.4. Collections. Past-due balances may be referred for collection or legal recovery after notice. The Client may be responsible for reasonable collection costs and fees to the extent permitted by law.
15. Drying, Curing & Post-Service Responsibilities
15.1. Follow Instructions. The Client must follow all written and verbal drying, curing, ventilation, foot-traffic, furniture, rug, cleaning, and maintenance instructions.
15.2. No Early Access. People and pets must remain off the floor for the minimum period provided by BSC. Socks, bare feet, shoes, paws, wheels, ladders, and equipment can mark or contaminate uncured finish.
15.3. Furniture and Rugs. Furniture, appliances, rugs, mats, pads, and protective coverings must not be returned until the stated time. Heavy items may require a longer cure period. Dragging items is prohibited.
15.4. Cleaning After Service. Do not wet mop, use steam, apply cleaners, use adhesive tape, or place rubber-backed mats until authorized. Afterwards, use only compatible maintenance products.
15.5. Client-Caused Damage. BSC is not responsible for footprints, scratches, impressions, sticking, contamination, dye transfer, rug-pad transfer, furniture marks, loss of gloss, peeling, or finish damage caused by early access, misuse, pets, occupants, movers, contractors, cleaners, or failure to follow post-care.
15.6. Cure Time Is Not Exact. Drying and curing depend on product, coat thickness, humidity, temperature, airflow, and floor condition. A surface that feels dry may not be fully cured.
16. Limitation of Liability & Indemnification
16.1. Liability Limit. Except for gross negligence or willful misconduct, BSC’s aggregate liability for the visit will not exceed the amount paid by the Client for the affected floor service. No indirect, incidental, special, punitive, or consequential damages are recoverable to the extent permitted by law.
16.2. Client Indemnification. The Client will indemnify and hold harmless BSC, its owners, employees, subcontractors, and agents from claims arising from the Client’s breach, unsafe or undisclosed conditions, third-party conduct, Client-supplied products or instructions, or unauthorized entry into the work area, except to the extent caused by BSC’s gross negligence or willful misconduct.
16.3. Keys, Codes & Lock Systems. BSC is not responsible for smart-lock outages, building-system failures, concierge errors, or access restrictions outside its control. Liability for negligent loss of a physical key is limited to reasonable re-keying cost, capped at $200 per visit unless prohibited by law.
17. Insurance & Damage Claims
17.1. Coverage. BSC maintains applicable business insurance, including Commercial General Liability and Workers’ Compensation coverage.
17.2. Certificates. Certificates of Insurance may be provided upon request with reasonable advance notice. Additional insured endorsements or special wording may require additional cost or contractual requirements.
17.3. Reporting Window. Any workmanship concern or alleged damage must be reported in writing within forty-eight (48) hours after service completion, with dated photographs and a description of the affected area.
17.4. Preservation and Inspection. The Client must preserve the affected condition and allow BSC a reasonable opportunity to inspect before third-party work, cleaning, recoating, sanding, moving, discarding, or alteration. Failure to preserve evidence may limit available remedies to the extent BSC is materially prejudiced.
17.5. Third-Party Work. BSC is not responsible for conditions changed or worsened by another contractor, cleaner, mover, occupant, or product after BSC’s service.
18. Satisfaction Remedy
18.1. Workmanship Concerns. If a workmanship issue such as an objectively missed approved area, removable residue, or correctable application defect is reported within forty-eight (48) hours, BSC will inspect and, when appropriate, offer reasonable correction of the affected service area.
18.2. Exclusive Service Remedy. When correction is appropriate, the service remedy is limited to reasonable correction or recoating of the affected area. It does not include full sanding, board replacement, unrelated repairs, or compensation for pre-existing conditions.
18.3. Scheduling. BSC may offer up to two reasonable return appointment options. If both are declined or access is not provided, the corrective-service obligation is considered fulfilled.
18.4. Exclusions. The remedy does not apply to pre-existing damage, incompatible prior coatings, hidden conditions, normal gloss variation, client-caused damage, early access, contamination, new scratches, new soil, new moisture, or failure to follow post-care instructions.
19. PPE, Pets, Children & Hazard Prevention
19.1. Work-Zone Safety. Technicians will reasonably manage machines, cords, hoses, liquids, tools, and wet surfaces. Clients and occupants must remain outside barricaded or active areas.
19.2. Pets. All pets must be secured away from the work zone before and throughout service and curing. BSC personnel do not supervise, handle, feed, relocate, or assume responsibility for pets.
19.3. Children. Children must remain supervised and outside all active and curing areas.
19.4. Hazard Reporting. The Client must promptly report leaks, electrical issues, unstable furniture, loose boards, building hazards, or other unsafe conditions. BSC may stop work until the hazard is corrected.
19.5. Incidents. Any injury, spill, access event, or other incident must be reported immediately so it can be documented and addressed.
20. Biohazard, Mold & Restricted Conditions
20.1. Excluded Hazards. Standard hardwood floor services do not include mold remediation, sewage, active infestation, blood, sharps, hazardous chemicals, asbestos, lead abatement, or other regulated biohazard or environmental remediation.
20.2. Discovery. Discovery of a suspected hazard may require immediate pause, exclusion, cancellation, or referral. Mobilization, diagnostic, and completed-work charges may remain due.
20.3. Moisture Damage. Active leaks or unresolved moisture conditions must be corrected by qualified professionals before coating. BSC does not diagnose structural or building-envelope causes.
21. Staff Non-Solicitation
21.1. Non-Solicitation. The Client agrees not to directly solicit, hire, or engage BSC employees or subcontractors for services outside BSC during the Agreement and for twelve (12) months after the last service in which that person worked at the property.
21.2. Remedy. Any liquidated-damages amount must be stated in the signed Proposal or separate agreement and is intended as a reasonable estimate of recruiting, onboarding, training, and replacement costs, not as a penalty.
22. Photographs, Video & Digital Media
22.1. Documentation. BSC may take before, during, and after photographs or video of the service area to document scope, pre-existing conditions, testing, workmanship, and claims.
22.2. Privacy. BSC will reasonably frame documentation to avoid identifying documents, occupants, and unrelated personal property.
22.3. Marketing Use. Limited marketing use of service-area images is authorized unless the Client opts out in writing before service. Publicly used images will not intentionally identify the Client or address.
22.4. No Sale of Images. BSC will not sell service documentation to unrelated third parties.
23. Privacy & Confidentiality
23.1. Limited Access. Personnel will access only areas reasonably necessary to perform the approved scope.
23.2. Client Information. Contact information, keys, codes, and service records are restricted to authorized personnel and business purposes.
23.3. Payment Data. Payments are processed through third-party processors. BSC does not intentionally retain complete payment-card data.
23.4. Credentials. Access credentials are retained only as needed for the authorized service or recurring relationship and may be removed upon written request, subject to operational and legal record requirements.
24. Agreement Duration & Electronic Acceptance
24.1. Effective Term. This Agreement becomes effective upon signature, deposit payment, or written authorization and remains in effect through completion of the identified service and payment.
24.2. Surviving Terms. Payment obligations, liability limits, claims procedures, confidentiality, media authorizations, non-solicitation, dispute terms, and other provisions that logically survive completion remain effective.
24.3. Electronic Acceptance. Email, text-message approval, electronic signature, deposit payment, or other written electronic authorization is enforceable as acceptance to the extent permitted by law.
25. Governing Law, Disputes & Force Majeure
25.1. Governing Law and Venue. This Agreement is governed by New York law. Unless otherwise required by law, venue for litigation will be in Kings County, New York.
25.2. Good-Faith Conference. The parties will first attempt in good faith to discuss and resolve a dispute after written notice.
25.3. Mediation. If unresolved, the parties may mutually agree to non-binding mediation in New York City before litigation.
25.4. Force Majeure. Neither party is liable for delay caused by events beyond reasonable control, including severe weather, outages, building restrictions, emergencies, public orders, labor disruptions, or acts of God. Payment for completed work and committed non-refundable materials remains due.
25.5. Assignment. The Client may not assign this Agreement without BSC’s written consent. BSC may assign it to an affiliate or successor that assumes the applicable obligations.
26. General Provisions
26.1. Entire Agreement. The signed Proposal, Work Order, Scope of Work, approved written changes, and these Terms constitute the entire agreement and supersede prior discussions concerning the service.
26.2. Order of Control. If documents conflict, a specifically negotiated written term in the signed Proposal or Work Order controls over these general Terms for that service.
26.3. Severability. If any provision is held invalid or unenforceable, the remaining provisions remain effective.
26.4. Non-Waiver. Failure to enforce a provision once is not a waiver of future enforcement.
26.5. Headings. Headings are for convenience and do not limit the meaning of the provisions.
26.6. Counterparts. This Agreement may be signed in counterparts and by electronic means.
Exhibit A – Scope of Work: Hardwood Floor Stripping and Recoating
1. Pre-Inspection & Photos — Inspect the floor, identify visible coating conditions, measure approved areas, and document scratches, dents, stains, exposed wood, peeling, repairs, moisture concerns, and other pre-existing conditions.
2. Test Area — Perform a small compatibility test when reasonably possible to evaluate coating removal, cleaning response, appearance, adhesion, and finish compatibility.
3. Dry Soil Removal — Vacuum or otherwise remove loose dust, grit, hair, and debris before wet processing.
4. Stripping Application — Apply a compatible stripping product to approved areas according to product directions and site conditions.
5. Mechanical Agitation — Agitate or scrub using suitable floor equipment, pads, hand tools, and edge-detailing methods.
6. Residue Recovery — Remove loosened coating, slurry, dirt, and residue using appropriate recovery procedures.
7. Rinse / Neutralization — Rinse or neutralize as required by the selected system and verify that residue is sufficiently removed.
8. Drying & Inspection — Allow the floor to dry and inspect for remaining buildup, unstable coating, exposed wood, or conditions requiring a change order.
9. Protective Finish Application — Apply the approved number of compatible protective finish coats, allowing required drying time between coats.
10. Final Walkthrough & Post-Care — Review appearance, document completion, and provide drying, curing, traffic, furniture, rug, and maintenance instructions.

Exhibit B – Scope of Work: Sandless Hardwood Floor Cleaning and Recoating
1. Pre-Inspection & Photos — Inspect and document the floor, existing finish, wear, scratches, dents, contamination, repairs, exposed wood, and other visible conditions.
2. Test Area — Test cleaning response and coating compatibility in an inconspicuous area when reasonably possible.
3. Dry Soil Removal — Vacuum or remove grit, dust, hair, and loose debris.
4. Intensive Cleaning / Degreasing — Remove compatible soil, grease, residue, and maintenance-product buildup without sanding the floor to bare wood.
5. Surface Preparation — Lightly abrade, screen, pad, or chemically prepare the existing compatible finish as required by the selected system.
6. Residue Removal — Remove dust and preparation residue and allow the surface to dry.
7. Adhesion Check — Review the prepared area and confirm that conditions reasonably support recoating.
8. Sealer / Protective Coating — Apply the approved compatible sealer or protective finish coats.
